Real Estate & Business Transactions
Buying, selling, leasing, or financing real estate, including commercial, industrial, or residential property, has the potential for significant and costly environmental liability. Even properties that appear to have no environmental concerns may nevertheless conceal significant environmental risk. In any real estate transaction, it is important that the parties structure the transaction and conduct environmental due diligence so that they can avoid, minimize, or manage any environmental risks. Our attorneys understand the environmental due diligence process and can make sure that it is tailored to your specific needs. We are often able to find a way to close transactions which involved environmental issues and potential liability, including dealing with contaminated properties.
There may also be potential environmental risks and liabilities associated with the purchase or sale of a business. As with real estate deals, we can help clients manage the environmental risks associated with business transactions, including negotiating the purchase or sale agreements for stock or assets deals and merger and acquisition transactions.
Managing Environmental Cleanups & Cost Recovery
If you need to cleanup environmental contamination at your property, or at a property you may purchase, it is important to properly understand and manage the cleanup process. Environmental cleanups must be performed according to the guidelines set forth in state and federal laws, including the Federal Superfund law and underground storage tank laws. We help clients efficiently manage those cleanups as required by applicable laws.
We also advise clients with respect to obtaining Brownfields grants and other funds under federal and state programs to help defray cleanup costs. If someone else was responsible for the contamination, we will help recover those costs from the responsible party. Finally, insurance might be available to help pay cleanup costs, and we can investigate if insurance coverage is an option in your situation.
Environmental Litigation & Compliance
Our attorneys have represented clients in a wide range of environmental litigation matters, including actions by the government alleging violations of environmental laws, as well as cleanup cost recovery matters. We have also represented citizens groups in environmental matters, including issues involving the National Environmental Policy Act and state and federal solid and hazardous waste compliance laws.
We also help clients to comply with environmental requirements, either when they identify issues or when the regulators assert alleged violations. This work includes underground storage tanks, obtaining environmental permits (including water and air pollution control permits), and managing solid and hazardous waste compliance.
Water Law & Conservation Matters
In Colorado, the prior appropriation doctrine governs the right to use water for multiple uses, including agricultural, industrial, mining, oil & gas, municipal, recreational, and other beneficial purposes. State statutes and numerous judicial decisions guide the use of surface water and groundwater in the state. Our attorneys have significant experience with surface and groundwater appropriation and uses, water rights sales, and transfers and changes to water rights.
